1. Agreement to Terms
These Terms and Conditions ("Conditions") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Tikman Billing ("we," "us," or "our"), concerning your access to and use of the Tikman Billing platform and all associated services.
These Conditions supplement and are in addition to our Terms of Service. By using our Service, you agree to comply with and be bound by both documents.
2. User Accounts and Responsibilities
2.1 Account Creation
When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Conditions, which may result in immediate termination of your account on our Service.
2.2 Account Security
You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service. You agree not to disclose your password to any third party.
2.3 KYC Verification
To access certain features, particularly payment processing and withdrawal capabilities, you must complete our Know Your Customer (KYC) verification process. This may require submission of government-issued identification, proof of address, and business registration documents. We reserve the right to request additional documentation at any time.
3. Payment Terms
3.1 Subscription Fees
All fees are quoted in USD unless otherwise stated. You agree to pay all fees or charges to your account based on our pricing and payment terms in effect at the time a fee or charge is due and payable.
- Transaction Fees: Charged as a percentage of processed transactions, billed at the end of each month
- Monthly Subscription Fees: Billed in advance on a recurring monthly basis
- Setup Fees: One-time fees for initial account setup (if applicable)
3.2 Payment Methods
We accept payment via credit card, debit card, mobile money (MTN, Airtel, Vodafone), and bank transfer. You authorize us to charge your designated payment method for all applicable fees.
3.3 Late Payments and Non-Payment
If payment is not received by the due date:
- Your account may be suspended or terminated
- Late payment fees may be applied as permitted by law
- Interest may accrue on overdue amounts at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower
- We may engage collection agencies to recover unpaid amounts
3.4 Refund Policy
All payments are non-refundable unless otherwise stated or required by law. We do not provide refunds or credits for:
- Partial months of service
- Unused features or services
- Accounts terminated for breach of these Conditions
3.5 Price Changes
We reserve the right to change our pricing at any time. We will provide at least 30 days' notice of any price increases. Your continued use of the Service after the price change becomes effective constitutes your agreement to pay the modified amount.
4. Service-Specific Terms
4.1 MikroTik Integration
Our Service integrates with MikroTik routers via RADIUS authentication. You are responsible for:
- Properly configuring your MikroTik router to work with our Service
- Maintaining your router's firmware and security updates
- Ensuring your router has a stable internet connection
- Providing accurate API credentials for router integration
4.2 Voucher Management
When using our voucher generation and management features:
- You are responsible for the distribution and sale of vouchers
- You must ensure voucher codes are kept secure and not shared publicly
- We are not liable for unauthorized use of vouchers due to your negligence
- Bulk-generated vouchers cannot be refunded once created
4.3 Payment Processing
When processing payments through our platform:
- You must comply with all applicable payment card industry (PCI) standards
- You are responsible for the accuracy of transaction information
- We may hold funds for verification or fraud prevention purposes
- Chargebacks and disputes are subject to our dispute resolution process
- We reserve the right to freeze accounts suspected of fraudulent activity
5. Prohibited Uses
You may not use our Service:
- For any unlawful purpose or to solicit others to perform or participate in any unlawful acts
- To violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances
- To infringe upon or violate our intellectual property rights or the intellectual property rights of others
- To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
- To submit false or misleading information
- To upload or transmit viruses or any other type of malicious code
- To collect or track the personal information of others
- To spam, phish, pharm, pretext, spider, crawl, or scrape
- For any obscene or immoral purpose
- To interfere with or circumvent the security features of the Service
- To process payments for illegal goods or services
- To engage in money laundering or terrorist financing
6. Data and Privacy
6.1 Data Ownership
You retain ownership of all data you input into the Service ("Customer Data"). We claim no intellectual property rights over Customer Data.
6.2 Data Usage
We may use Customer Data to:
- Provide and improve the Service
- Generate aggregated, anonymized analytics
- Comply with legal obligations
- Prevent fraud and ensure security
6.3 Data Security
While we implement industry-standard security measures, you acknowledge that:
- No method of transmission over the Internet is 100% secure
- You are responsible for maintaining the security of your account credentials
- You should implement your own security measures for sensitive data
6.4 Data Backup
We perform regular backups of Customer Data, but you are encouraged to maintain your own backups. We are not liable for data loss except as required by law.
7. Service Level and Support
7.1 Service Availability
We aim to provide 99.9% uptime for the Service, excluding scheduled maintenance. However, we do not guarantee uninterrupted access and are not liable for downtime caused by:
- Scheduled maintenance (with advance notice)
- Emergency maintenance
- Third-party service failures
- Force majeure events
- Your internet connection or equipment issues
7.2 Customer Support
We provide customer support via email and our support portal. Response times vary based on your subscription tier and the nature of your inquiry. We do not guarantee immediate responses or resolution of all issues.
8. Termination and Suspension
8.1 Termination by You
You may terminate your account at any time by:
- Canceling your subscription through your account settings
- Contacting our support team
Termination will be effective at the end of your current billing cycle. You will not receive a refund for the remaining period.
8.2 Termination or Suspension by Us
We may suspend or terminate your account immediately if:
- You breach these Conditions or our Terms of Service
- You fail to pay fees when due
- We suspect fraudulent or illegal activity
- We are required to do so by law
- You engage in abusive behavior toward our staff or other users
8.3 Effect of Termination
Upon termination, we may delete your account and all associated Customer Data after a grace period of 30 days. You are responsible for exporting any data you wish to retain before termination.
9. Compliance and Legal Obligations
9.1 Regulatory Compliance
You are responsible for ensuring your use of the Service complies with all applicable laws and regulations in your jurisdiction, including but not limited to:
- Tax laws and reporting requirements
- Consumer protection laws
- Data protection and privacy laws (e.g., GDPR, CCPA)
- Telecommunications regulations
- Anti-money laundering (AML) regulations
9.2 Tax Obligations
You are responsible for determining and paying all applicable taxes on fees paid to us and revenue generated through the Service. We may be required to collect and remit taxes in certain jurisdictions.
10. Modifications to Conditions
We reserve the right, at our sole discretion, to modify or replace these Conditions at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
11. Severability
If any provision of these Conditions is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
