These Terms of Service ("Terms") constitute a legally binding agreement between you (whether personally or on behalf of an entity) and Tikman Billing ("Company," "we," "us," or "our") concerning your access to and use of the Tikman Billing platform, including our website, mobile applications, and all associated services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms and all applicable laws and regulations. If you do not agree with any of these Terms, you are prohibited from using or accessing the Service.

2. Definitions

• "Service" refers to the Tikman Billing WiFi hotspot management and billing platform
• "User" or "you" refers to the individual or entity using the Service
• "Content" refers to all data, information, and materials uploaded or generated through the Service
• "Subscription" refers to your paid access to the Service
• "MikroTik" refers to MikroTik routers and RouterOS software integrated with our Service

3. Account Registration and Eligibility

3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to use the Service. By creating an account, you represent and warrant that you meet these requirements.

3.2 Account Creation

When you create an account, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of these Terms, which may result in immediate termination of your account.

3.3 Account Security

You are responsible for safeguarding your account password and for all activities or actions under your account. You must notify us immediately of any unauthorized use of your account or any other breach of security.

4. Service License and Restrictions

4.1 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

4.2 Restrictions

You agree not to:

• Modify, copy, or create derivative works of the Service
• Reverse engineer, decompile, or disassemble any software contained in the Service
• Remove, alter, or obscure any proprietary notices on the Service

• Attempt to gain unauthorized access to the Service or related systems

5. Subscription and Billing

5.1 Subscription Plans

5.2 Payment Terms

• All fees are quoted in USD unless otherwise stated
• Monthly subscription fees are billed in advance on a recurring basis
• Transaction fees are calculated based on your processed transactions and billed at the end of each month
• You authorize us to charge your designated payment method for all fees

5.3 Automatic Renewal

Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date. You can cancel your subscription at any time through your account settings.

5.4 Non-Refundable Fees

All subscription fees are non-refundable except as required by law or as expressly stated in these Terms. No refunds will be issued for partial months of service or unused features.

5.5 Late Payments

If payment is not received by the due date, we reserve the right to suspend or terminate your access to the Service. Late payments may incur additional fees as permitted by law.

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Service, including all software, designs, text, graphics, logos, and other content, is owned by Tikman Billing or our licensors and is protected by copyright, trademark, and other intellectual property laws. All rights not expressly granted to you are reserved by us.

6.2 User Content

You retain ownership of any content you upload to the Service ("User Content"). By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and process your User Content solely to provide and improve the Service.

6.3 Feedback

If you provide us with any feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without any obligation to you.

7. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others, including intellectual property rights
• Transmit spam, unsolicited communications, or fraudulent content
• Harass, abuse, threaten, or intimidate any person

8. Service Availability and Modifications

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that the Service will meet your requirements, be uninterrupted, timely, secure, or error-free, or that any defects will be corrected.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TIKMAN BILLING, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

11. Indemnification

You agree to indemnify, defend, and hold harmless Tikman Billing and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your infringement of any third-party rights.

12. Termination

12.1 Termination by You

You may terminate your account at any time by canceling your subscription through your account settings or by contacting our support team.

12.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice or liability, for any reason, including if you breach these Terms, engage in fraudulent activity, or fail to pay fees when due.

12.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may delete your account and all associated data. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

13. Dispute Resolution and Governing Law

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Tikman Billing operates, without regard to its conflict of law provisions.

13.2 Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiations. If negotiations fail, disputes may be resolved through binding arbitration or in the courts of competent jurisdiction.

14. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice through the Service or by email at least 30 days before the changes take effect. Your continued use of the Service after the changes become effective constitutes your acceptance of the revised Terms.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and Tikman Billing regarding the Service.

15.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

15.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
